Transactions careers: helping your clients manage their capital agenda

At a time when the global business environment holds increasingly complex strategic challenges, we know that how organizations manage their capital agenda today will define their competitive position tomorrow. We help them work more efficiently and effectively, ensuring their long-term health by raising, preserving, investing and optimizing capital.

As an EY Transactions professional, you will work with the world’s largest organizations, fastest-growing companies, and private equity firms on some of the biggest and most complex cross-border engagements in the global market.

You will help those clients make better and more informed decisions about how they strategically manage capital and transactions in a changing world. That means advising businesses on how they preserve, optimize, raise and invest their capital to help them achieve their strategic objectives.

If you understand capital and how to make it work harder, you’ll feel at home in Transactions.

We invite you to explore the different business areas in which we operate:

M&A Advisory

As an M&A advisory professional you will help the team advise C-suite executives and boards on both buy-side and sell-side transactions, and help them evaluate strategic alternatives. Drawing on industry knowledge and leveraging an extensive global network, the team advises on the sale process from strategic positioning to close, helps execute acquisitions, alliances and mergers, and provides "boardroom” advice.

Services provided through Ernst & Young Orenda Corporate Finance Inc., an exempt market dealer and affiliate of Ernst & Young LLP, and through Ernst & Young Corporate Finance (Canada) Inc., a broker dealer affiliate of Ernst & Young LLP and member of FINRA.

Capital Advisory

As a Capital Advisory team member, you will work with colleagues that offer decades of experience guiding clients through capital events and understand the dynamics of every layer of the capital structure. You will help organizations raise debt and equity capital, advise on capital structure transactions and execute complex balance sheet restructurings.

As part of our market-leading Restructuring practice, you will help companies and investors facing financial challenges and threats across the whole economic cycle. We’ll also help you develop the skills you need to give integrated, objective advice on business restructuring, selling or buying a distressed asset, dealing with distress or under-performance or optimizing capital by improving working capital management.

Services provided through Ernst & Young Inc., a bankruptcy trustee affiliate of Ernst & Young LLP.

Operational Transaction Services

As one of our Operational Transaction Services professionals, you will prepare and execute integration plans to maximize synergies and financial benefits from transactions. Understanding the factors that drive successful integrations, you will use the intricate knowledge of the organizations involved in a deal to drive operational value. Your insights together with the knowledge and experience of your transaction colleagues will help every deal achieve its full potential.

Divestiture Advisory Services

As organizations focus on preserving, optimizing and raising capital, they often turn to divestitures as they strategically manage their portfolios. Our Divestiture Advisory Services professionals will work with corporate and private equity clients on a variety of divestitures, including sales of the entire company, carve-outs, spin-offs and joint ventures.

Transaction Real Estate

Our Transaction Real Estate professionals work with clients in both the private and public sector. As part of their team you’ll help your clients achieve the potential of their real estate assets, portfolios or companies by developing capital market strategies for acquiring or disposing of real estate. Our advisory services include feasibility studies, valuations and project management.

Services provided through Ernst & Young Real Estate Services Inc., a licensed brokerage affiliate of Ernst & Young LLP.

Transaction Support

As a Transaction Support professional you’ll help clients achieve their strategic goals, whether they are acquiring or divesting assets. You’ll advise clients across the transaction lifecycle – from strategic assessment to implementation and post-deal integration. You’ll identify key value drivers, challenge assumptions about future performance and work with other EY service teams to deliver an integrated service to our clients.

Transaction Tax

Every transaction has tax implications, whether it’s an acquisition, disposal, merger, demerger, joint venture, refinancing, restructuring, or stock exchange transaction such as an IPO./p>

Working in our Transaction Tax team you will advise companies and private equity investors on all tax aspects of their transactions across a wide range of industries and geographies, helping clients to benefit from the potential tax opportunities present in transactions as well as identifying and reducing inherent tax risk. You will also work alongside restructuring colleagues to advise companies in financial difficulties, including those in formal insolvency proceedings, on sales of non-core businesses to restore their balance sheets.

As a member of this globally integrated team, you’ll develop the tax and transaction skills and knowledge you need to progress your career in a dynamic and highly commercial environment.

Valuation & Business Modeling

Our experienced valuation professionals bring excellence in accounting, taxation, and financial due diligence to provide clients with valuation advice for a multitude of purposes during a time when the value of assets and liabilities has grown more complex and critical for most businesses.

Our Business Modeling professionals help decision-makers assess and plan the efficient allocation of resources in organizations. Using sophisticated modeling and quantitative analysis techniques, you will develop business and financial models to structure a business or a new venture.

Your aim? To provide an objective view of critical assumptions and uncertainties so clients and their investors better understand the deal – from revenue and tax structure strategies, to investment drivers that create value.
